TORONTO CHAPTER TEAMSTER MOTORCYCLE ASSOCIATION
BY-LAWS
| ARTICLE 1 NAME AND PURPOSE
Section 1
Name
This organization shall be known as Toronto Chapter, Teamster Motorcycle Association, located in the Province of Ontario, Canada. Also known as Toronto Chapter TMA.
Section 2
Purpose
The purpose of this Non-Profit Association is:
- To promote the spirit of the Brotherhood of Teamsters between like-minded individuals who love to ride;
- To promote safe riding practices
- To organize and to plan riding trips that will be safe, enjoyable and fulfilling to the membership
- To engage in charitable events in order to raise funds to assist individuals afflicted with disabling diseases and conditions, primarily childhood diseases.
| ARTICLE 2 OBJECTIVES
To promote the interest and ownership of motorcycles and to encourage the practice of motorcycling through a friendly and cooperative and supportive manner. All members are encouraged to own and operate a motorcycle; to encourage and organize activities of interest relating to motorcycles to the members; to organize special events for the community and to support worthy local causes through charitable means when possible.
| ARTICLE 3 MEMBERSHIP AND DUES
Section 1.
Membership
The Association shall be composed of full members and associate members. Membership is open to motorcycle enthusiasts, owners and family members.
Section 2.
Responsibility and Privileges:
All members have the right to vote at the Association Meetings.
All Full members have the right to run for office.
All members are encouraged to participate in all Association events.
All members are encouraged to attend regular meetings whenever possible.
Section 3.
Dues
Dues for each fiscal year will be paid in full by May 1 of each year and any new members dues after that date will be paid the following May 1. Every new Member and Associate Member must, as a condition of Membership, pay the initial cost of joining as determined from time to time. This cost includes initiation fee and patches.
| ARTICLE 4 ELECTIONS AND ELECTED POSITIONS
Section 1.
Elections
Elections of the Association Officers will be held in January of every year. A majority consists of fifty (50%) percent plus one vote using ballots.
Section 2.
Elected Association Officers Responsibilities
To act as Executive Officers that work together to execute the will of the Association members. If an Executive Officer is unable to fulfill his/her duties for any reason the other executive will follow the direction of the President or Vice President to appoint an interim officer and request input from the membership with regards to filling the vacation position.
Elected Officers have a fiduciary duty to the Association and its members and must act in good faith for the benefit of the Association and the members. Conduct that is contrary to the Constitution of the Association, the objectives of the Association, misrepresentation or misuse of Association funds and/or any other conduct under question shall be grounds for a Motion to examine the issues in order to arrive at a reasonable resolution. In the event that issues are not resolved the Association may remove an elected officer by a resolution passed by at least two thirds of the votes cast at a General Meeting, and thereby elect any other eligible member for the duration of the term.
Section 3.
Elected Positions
President:
Will call and preside over meetings and call for adjournments.
Will be the official Association representative to the press and other public interests.
May appoint temporary officers.
Will be one of the signing officers for the Association financial accounts.
Vice President
In the absence of the President, the Vice President will assume the President’s duties.
Will assist the President in all Association duties
Will fulfill the President’s duties and call for an election if the membership requests it, if the President should step down or becomes unable to act for any reason.
Treasurer
Will maintain a record of all Association financial transactions and keep all pertinent receipts.
Will collect and distribute Association funds.
Will report on the Association financial situation at all general meetings.
Will be one of the official signing officers.
Will present a full financial report at the annual January meeting.
Recording Secretary
Will keep the minutes of the meeting as well as read the minutes of the last meeting.
Section 4.
Positions – not elected
Secretary
Will maintain a current Association membership list.
Will be the main contact for inquiries and correspondence.
Webmaster/Club Archival
Will maintain the Association website
Will keep on file all historical and press articles pertaining to the Association
Members will be encourage to submit suitable Association information to him/her.
| ARTICLE 5 CONDUCT OF VOTING PROCESS
Elections of officers will take place every year in January. Notification of time and place will be made available to all voting members by December 15th. New members will still be accepted between December 15th and the election in January, but the new signed on members will not be allowed to vote until 12 months later.
A quorum of eight (8) paid up members is required and a simple system of written balloting will be employed. In case of a tie the President shall have the deciding vote.
| ARTICLE 6 FINANCES
Section 1.
Expenditures
All expenditures over $100.00 will need approval of the membership. All Association cheques will require a dual signatory procedure between the President and the Treasurer. Exception expenses (i.e. Rally) will be pre-approved in principle, and will be presented for approval at next meeting.
Section 2.
Insignia
All changes to official insignia design must be approved by the Association members. All purchases of insignia must be approved by the Association members.
| ARTICLE 7 MEETINGS
Members are encouraged to come to regular meetings throughout the season. Locations and dates to be announced. Voting during these meetings is valid with a quorum present (eight (8) paid-up members). The President or the Vice-President must be present.
Process of the meeting shall be:
A call to order
Reading of the Minutes of the last Meeting
Reports by officers and/or committees
Old business
New business
Announcements
Adjournment
| ARTICLE 8 AMENDMENTS
Any members may submit, in written form, suggestions for amendment to the Association by-laws to the President. It will be voted on at a regular meeting where a quorum is present and it has been put on the agenda sent to members. Every effort will be made to present the proposals to the entire membership before voting. A two-thirds majority vote is required for passage, and enough time must have passed for all members to receive written notice of the Motion. This would typically be considered a month.
| ARTICLE 9 CHARITY
Whenever the Association has earned surplus over and above its operating budget (after all expenses), a sum of money shall go to charity.
Any charity can apply to the Association for consideration of funding. Changing the current stated charity to another requires a simple majority vote at any
general meeting.
Fundraising for charities is not a fixed policy, but membership participation and input as to which charities to align the Association with will be discussed and approved at regular membership meetings.
| ARTICLE 10 DISSOLUTION
If for any reason the Association ceases to exist as a formal organization all funds shall be donated to charity to be decided by the membership. Any unsold regalia will be sold off and the proceeds thereof donated to charity decided by the membership.
